Terms and conditions of the licence
The general conditions which apply to licensed bodies contained in Rule 8 of the SRA Authorisation Rules for Legal Services Bodies and Licensable Bodies as applicable.
Any obligation which may from time to time be imposed on [The Firm] or a manager, employee, or non-authorised interest-holder in [The Firm] by or under the SRA's licensing rules or by or under the LSA, or any other enactment.
The following additional conditions are imposed on the Licensed Body:Where a solicitor, registered foreign lawyer or registered European lawyer who is a manager, employee or owner of PricewaterhouseCoopers LLP is engaged in legal activity that is not regulated activity, then he or she should not act for a client where there is a conflict of interest unless: the client has given informed consent; andappropriate safeguards can be put in place that are consistent with the SRA Principles and maintain the confidentiality of the affairs of that client.PricewaterhouseCoopers LLP will inform the SRA as soon as reasonably practicable in the event of it, or any part of its business:ceasing to be regulated by The Institute of Chartered Accountants in England and Wales (ICAEW); and/orbecoming the subject of any regulatory proceedings or sanctions by ICAEW or any other regulator.

The following waivers have been granted to PricewaterhouseCoopers LLP:
PricewaterhouseCoopers LLP (PwC) has been granted a waiver from Rule 16.2(b) of the SRA Practice Framework Rules 2011 and Rule 8.6(a) of the SRA Authorisation Rules 2011 insofar as any required approval of a manager must be obtained in advance of their appointment.
This waiver is subject to the following conditions:
- 2.1
Any manager that requires approval under Rule 8.6(a) and Part 4 of the SRA Authorisation Rules 2011, and has not been granted a waiver from requiring any such approval, will still be expected to obtain SRA approval.
- 2.2
Under the terms of this waiver, that approval will not need to be applied for, or obtained, in advance of the appointment of the manager taking place.
- 2.3
Failure to obtain approval in advance of the appointment will only be permitted under this waiver where it is not possible to identify the manager suitably in advance of their appointment to obtain approval first.
- 2.4
PwC will be expected to apply for approval of a new manager appointed under this waiver within 30 days of their appointment.
- 2.5
Where a manager is appointed prior to approval under this waiver, it does not fetter the ability of the SRA to refuse approval if they are not satisfied that the person is a fit and proper person under the SRA Suitability Test 2011. Where a manager is so refused, subject to any right of appeal, PwC will be expected to make the necessary arrangements to remove that person or their role from the categories of managers that require approval. Those categories will be those identified in the associated waiver as being responsible for the day-to-day running of PwC as a whole and its SRA regulated legal services business.
- 2.1
The above waiver is granted unlimited as to time, but is revocable on reasonable notice.
The waiver is granted on the basis that this decision is without prejudice to any future decision on this or any related matter.

The following waivers have been granted to PricewaterhouseCoopers LLP:
A waiver from:
- Rules 8.6(a) and 8.7(c) of the SRA Authorisation Rules 2011; and
- Rule 18.2(c) of the SRA Practice Framework Rules 2011
- 1.1
this waiver does not extend to the current or future members of the LLP who fall into one or more of the following groups:
- the Executive Board
- the Market Initiatives & Industries leader
- the Head of Tax
- the Tax Chief Operating Officer
- the Legal Services Markets Leader
- the members who are authorised persons responsible for supervising and directing SRA regulated services
- the Compliance Officer for Legal Practice (COLP)
- the Compliance Officer for Finance and Administration (COFA)
- 1.2
this waiver is granted on the basis of the governance documents and reporting lines provided to the SRA as part of PricewaterhouseCoopers LLP's application to become a licensed body. Any changes to that governance, insofar as it relates to members or other persons who have influence, control or input in relation to the running or management of PricewaterhouseCoopers LLP or PricewaterhouseCoopers LLP 's legal services business, must be notified to the SRA in writing within 14 days of those changes taking place.
as they apply to the current and future members of PricewaterhouseCoopers LLP who are not involved in the day-to-day management or compliance of PricewaterhouseCoopers LLP and/or its legal services business.
This waiver is granted subject to the conditions that:
A waiver from the requirements of Outcome 7.10(b) to Chapter 7 of the SRA Code of Conduct 2011.
The above waivers are granted on the basis that they are without prejudice to any future decision on this or any related matter.
Further, these waivers are not time limited but are revocable upon reasonable notice.

- The following waivers have been granted to PricewaterhouseCoopers LLP:
A. A waiver from the SRA Indemnity Insurance Rules insofar as those used prescribed definitions of the following terms:
- 'participating insurer"
- 'qualifying insurance'
B. A waiver from Annex 1 to the SRA Indemnity Insurance Rules (the SRA Minimum Terms and Conditions of Professional Indemnity Insurance).
These waivers are subject to the condition that, should there be any material change in the terms and conditions of the insurance that PricewaterhouseCoopers LLP holds, or a reduction to the level of primary cover, it must immediately inform the SRA and this waiver may be amended or revoked with immediate effect.
