Terms and conditions of the licence

The general conditions which apply to licensed bodies contained in Rule 8 of the SRA Authorisation Rules for Legal Services Bodies and Licensable Bodies as applicable.

Any obligation which may from time to time be imposed on [The Firm] or a manager, employee, or non-authorised interest-holder in [The Firm] by or under the SRA's licensing rules or by or under the LSA, or any other enactment.

Waiver(s)

The information below is a summary of the waiver(s) granted.

1. 1. The following waivers have been granted to Moore Kingston Smith LLP:

   A.  A waiver from the SRA Indemnity Insurance Rules insofar as those used prescribed definitions of the following terms:

   • 'participating insurer"
   • 'qualifying insurance'

   B.  A waiver from Annex 1 to the SRA Indemnity Insurance Rules (the SRA Minimum Terms and Conditions of Professional Indemnity Insurance).

   These waivers are subject to the condition that, should there be any material change in the terms and conditions of the insurance that Moore Kingston Smith LLP holds, or a reduction to the level of primary cover, it must immediately inform the SRA and this waiver may be amended or revoked with immediate effect.

2. Kingston Smith LLP has been granted a waiver from:

   • Rules 8.6(a) and 8.7(c) of the SRA Authorisation Rules 2011, and
   • Rule 18.2(c) of the SRA Practice Framework Rules 2011

   This waiver is granted subject to the conditions that:

   A. This waiver does not extend to the current or future members of the LLP who fall into one or more of the following groups or categories:

   (i) Managing Partner of Kingston Smith LLP

   (ii) Partner Governance Board

   (iii) Head of Legal

   (iv) members within the Legal Services team

   (v) Compliance Officer for Legal Practice (COLP)

   (vi) Compliance Officer for Finance and Administration (COFA)

   B. This waiver is granted on the basis of the governance structure information provided as part of Kingston Smith LLP’s initial licensing application in 2015 and as updated in May 2019. Any changes to that structure, insofar as they relate to members or other persons who have influence, control or input in relation to the running or management of Kingston Smith LLP’s legal service business, must be notified to the SRA Firm-Based Authorisation team within 14 days of those changes taking place.

   C. The waiver is granted unlimited as to time but is revocable on reasonable notice

3. Kingston Smith LLP has been granted a waiver from the requirements of Outcome 8.5 to Chapter 8 of the SRA Code of Conduct 2011, subject to the following conditions:

   1. this waiver only extends to the firm's letterhead across the organisation and emails sent in respect of work done outside of SRA regulation;
   2. emails sent for work done under SRA regulation should include a footer that informs the recipient that Kingston Smith LLP is authorised and regulated by the Solicitors Regulation Authority in respect of that work; and
   3. Kingston Smith LLP's website should be clear that it is authorised and regulated by the SRA and the areas of work covered by that authorisation.

   This waiver is not time limited but is revocable upon reasonable notice.

   This waiver is granted on the basis that this decision is without prejudice to any future decision on this or any related matter.

4. The following waivers have been granted to Kingston Smith LLP:

   A waiver from Rule 2.1(b) of the SRA Financial Services (Conduct of Business) Rules 2001 as it applies to all activities within the firm which are not SRA regulated activity.

   1. Kingston Smith LLP has been granted a waiver from Regulations 2.2, 5.1, 13, 14.1, 15 and 16.1 of the SRA Training Regulations 2011 - Part 3 CPD Regulations as they apply to solicitors within Kingston Smith LLP for the practice year 2014/2015.

   The above waivers are granted on the basis that they are without prejudice to any future decision on this or any related matter.

   Further, these waivers are not time limited but are revocable upon reasonable notice.
